1. Description of Services – Dietitian EngagementThis Purchase Order is issued by Al-Rafidain Health & Nutrition Services Co. to formally engage the services of a qualified Dietitian for the provision of clinical nutrition counseling, dietary assessment, and therapeutic meal planning at our facility located in Iraq Baghdad. The Dietitian shall operate under the supervision of the Chief Medical Officer and shall adhere to all applicable Iraqi Ministry of Health regulations governing the practice of dietetics and clinical nutrition within the Republic of Iraq.
2. Scope of WorkThe Dietitian engaged under this Purchase Order shall perform the following duties at the Iraq Baghdad facility on a full-time basis (Monday through Friday, 8:00 AM to 4:00 PM):

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Dietitian vendor for the duration of twelve (12) months commencing 1 July 2025 and concluding 30 June 2026, unless terminated earlier in accordance with Clause 3.5.
3.2 The Dietitian shall maintain a valid Iraqi Dietetic Practitioner License issued by the Iraqi Ministry of Health and shall provide proof of professional indemnity insurance with a minimum coverage of 50,000,000 IQD prior to commencing services in Iraq Baghdad.
3.3 All services rendered under this Purchase Order shall be performed at the Buyer's facility in Al-Mansour, Iraq Baghdad, unless otherwise agreed in writing. The Dietitian shall comply with all hospital policies, infection control protocols, and patient confidentiality standards as mandated by Iraqi healthcare legislation.
3.4 Payment shall be processed in Iraqi Dinar (IQD) via bank transfer to the account designated by the Dietitian within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Iraqi commercial law.
3.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notification. Termination shall not affect accrued payment obligations.
3.6 The Dietitian shall not subcontract any portion of the services described in this Purchase Order without prior written consent from the Buyer's Procurement Department.
3.7 All patient records, dietary assessments, and clinical documentation generated in Iraq Baghdad shall remain the exclusive property of Al-Rafidain Health & Nutrition Services Co. and shall be stored in accordance with Iraqi data protection regulations.
4. Acceptance and Quality AssuranceThe Buyer reserves the right to evaluate the Dietitian's performance on a quarterly basis. Performance metrics shall include patient satisfaction scores, adherence to clinical nutrition guidelines, timeliness of report submission, and compliance with Iraqi Ministry of Health dietary standards. Failure to meet the agreed performance thresholds for two consecutive quarters shall constitute grounds for review and potential termination of this Purchase Order.
Note: This Purchase Order is governed by the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Baghdad, Iraq. All communications regarding this Purchase Order shall be directed to the Procurement Department at the address stated above. The Dietitian acknowledges that all services are to be delivered exclusively within the jurisdiction of Iraq Baghdad and that compliance with local regulatory frameworks is a condition of this engagement. 5.
