- Scope of Engagement: The Dietitian identified in this Purchase Order shall provide all nutritional and dietary services exclusively within the city of Italy Rome, unless otherwise agreed in writing. All in-person consultations, workshops, and assessments shall take place at the premises specified by the Purchasing Entity in Rome, Lazio, Italy.
- Professional Qualifications: The Dietitian must hold a valid registration with the Albo dei Biologi (Section of Nutritionists) of the Lazio region and maintain professional liability insurance with a minimum coverage of 500,000 EUR. Proof of registration shall be provided prior to the commencement of services.
- Payment Schedule: Payment shall be made via bank transfer (bonifico bancario) to the IBAN specified on the Dietitian's invoice. Invoices shall be submitted monthly. The Purchasing Entity shall remit payment within thirty (30) calendar days of receipt of a valid invoice, in accordance with Italian commercial law (Art. 633 of the Codice Civile).
- Confidentiality and Data Protection: The Dietitian shall handle all employee health data in strict compliance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR). No employee nutritional information shall be disclosed to third parties without explicit written consent.
- Service Standards: All dietary plans and nutritional advice shall be based on evidence-based medicine and aligned with the guidelines of the Italian Society of Human Nutrition (SINU). The Dietitian shall use the Mediterranean dietary model as the primary framework, adapted to individual employee needs.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Purchasing Entity shall pay for all services rendered up to the date of termination. The Dietitian shall return all confidential documents and data within fifteen (15) days of termination.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Rome, Italy. The parties agree to attempt mediation before initiating formal legal proceedings, in accordance with Italian procedural law.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to public health emergencies affecting the city of Italy Rome, natural disasters, or government-mandated closures.
- Intellectual Property: All proprietary dietary protocols, workshop materials, and reports created specifically for the Purchasing Entity under this Purchase Order shall remain the property of Roma Wellness & Corporate Health S.r.l. The Dietitian retains the right to use general methodologies and professional knowledge in future engagements.
- Compliance: The Dietitian warrants that all services shall comply with applicable Italian national and regional health regulations, including those issued by the ASL Roma (Local Health Authority) and the Ministry of Health of the Italian Republic.
