• Service Location: All services under this Purchase Order shall be rendered primarily at the Abidjan Wellness & Corporate Health Group premises located in the Plateau district of Ivory Coast Abidjan, with additional on-site visits to client offices in Cocody and Yopougon as required.
• Service Period: The Dietitian shall provide services for a continuous period of three (3) months commencing on 1 July 2025 and concluding on 30 September 2025, unless this Purchase Order is renewed in writing by both parties.
• Payment Terms: Payment shall be made in three equal monthly installments of 2,902,800 XOF, due on the 5th of each month via bank transfer to the Dietitian's designated account at Société Générale Côte d'Ivoire, Abidjan branch. Late payments shall incur a penalty of 1.5% per month.
• Professional Qualifications: The Dietitian must hold a valid license issued by the Ivorian Ministry of Health and maintain membership in good standing with the National Order of Dietitians of Ivory Coast. Proof of professional indemnity insurance (minimum 50,000,000 XOF coverage) must be provided prior to commencement of services.
• Confidentiality: The Dietitian shall maintain strict confidentiality regarding all client health data, dietary records, and personal information in accordance with Ivorian data protection regulations. No client information shall be disclosed to third parties without written consent.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the purchasing entity shall compensate the Dietitian for all services rendered up to the termination date.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes shall be resolved through the competent courts of Abidjan, Ivory Coast.
• Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Ivory Coast Abidjan.
