- Service Period: The Dietitian shall render all services described in this Purchase Order from 01 July 2025 through 31 December 2025, unless extended by mutual written agreement between the parties.
- Professional Standards: The Dietitian shall maintain active registration with the National Institute of Dietetic Practice and shall comply with all regulations governing nutritional practice in Japan Kyoto, including the Act on Securing the Quality, Safety and Efficacy of Pharmaceuticals, Medical Devices, etc. (PMD Act) as it pertains to dietary guidance.
- Confidentiality: All client health records, dietary data, and personal information obtained during the course of this engagement shall be treated as strictly confidential in accordance with Japan's Act on the Protection of Personal Information (APPI). The Dietitian shall not disclose any client information to third parties without written consent.
- Payment Schedule: Invoices shall be submitted monthly by the 5th of the following month. Payment shall be made via bank transfer to the account specified by the Dietitian within thirty (30) calendar days of the invoice date. Late payments shall incur a penalty of 1.5% per month.
- Performance Standards: The Dietitian shall maintain a minimum client satisfaction rating of 4.2 out of 5.0 as measured by quarterly surveys administered by the Institute. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Insurance and Liability: The Dietitian shall maintain professional indemnity insurance with a minimum coverage of JPY 50,000,000 per occurrence. A certificate of insurance shall be provided to the Institute prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Institute shall pay for all services rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising hereunder shall be resolved through arbitration in Kyoto, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government mandates, or other events beyond reasonable control, including but not limited to typhoons, earthquakes, or public health emergencies affecting the Japan Kyoto region.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of Dietitian services in Japan Kyoto.
