- Scope of Services: This Purchase Order authorizes the Seller, a licensed Dietitian practice operating in Japan Osaka, to provide all nutritional assessment, counseling, meal planning, and wellness education services as itemized above. All Dietitian personnel assigned to this contract must hold a valid Registered Dietitian (RD) license issued by the Japan Dietetic Association.
- Service Location: All on-site services shall be performed at the Buyer's premises located in Japan Osaka, Kita-ku, or at such other locations within the Japan Osaka metropolitan area as mutually agreed in writing. Remote and digital services may be delivered from any location within Japan.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-JPO-2025-04782) and include the Seller's Touhyou number. Payment shall be made via bank transfer to the account designated by the Seller in Japan Osaka.
- Confidentiality: The Dietitian and all associated staff shall maintain strict confidentiality regarding all employee health data, dietary information, and medical records in accordance with the Act on the Protection of Personal Information (APPI) of Japan. No data shall be transferred outside of Japan without explicit written consent from the Buyer.
- Quality Assurance: The Seller guarantees that all Dietitian services will be delivered in compliance with the Japanese Dietary Reference Intakes (DRIs) and the National Health and Nutrition Guidelines issued by the Ministry of Health, Labour and Welfare. The Buyer reserves the right to audit service quality at any reasonable time during the contract period.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Dietitian services rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to Dietitian services in Japan Osaka shall be subject to the exclusive jurisdiction of the Osaka District Court.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to natural disasters, pandemics, or government-mandated restrictions affecting service delivery in Japan Osaka or elsewhere in Japan.
