Description of Dietitian Services OrderedThis Purchase Order is issued by Nairobi Nutrition & Wellness Group Ltd. to engage the services of a qualified and licensed Dietitian to provide comprehensive nutritional assessment, dietary planning, and ongoing wellness counselling to employees across our offices in Kenya Nairobi. The Dietitian shall operate in full compliance with the Kenya Nursing and Midwifery Council (KNMC) regulations and the Kenya Dietitians Association (KDA) code of professional conduct. All services rendered under this Purchase Order shall be delivered within the Nairobi metropolitan area, Kenya, and shall adhere to the national dietary guidelines issued by the Ministry of Health, Republic of Kenya.

- This Purchase Order constitutes a binding agreement between Nairobi Nutrition & Wellness Group Ltd. (hereinafter "the Purchaser") and the named Dietitian service provider (hereinafter "the Supplier") for the provision of professional dietetic and nutritional services in Kenya Nairobi.
- The Dietitian shall hold a valid and current professional licence issued by the Kenya Nursing and Midwifery Council (KNMC) and shall maintain membership in good standing with the Kenya Dietitians Association (KDA) throughout the duration of this Purchase Order.
- All services shall be performed at the designated locations within Nairobi, Kenya, as specified in this Purchase Order. The Dietitian shall bear all travel and transportation costs within the Nairobi metropolitan area.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Dietitian, issued in accordance with the Kenya Revenue Authority (KRA) eTIMS requirements. Payment shall be made via bank transfer to the Supplier's designated account in Kenya.
- The Dietitian shall maintain strict confidentiality of all employee health records in compliance with the Kenya Data Protection Act, 2019, and shall not disclose any personal nutritional information to third parties without written consent.
- The Purchaser reserves the right to audit the Dietitian's service delivery records, attendance logs, and client feedback forms at any reasonable time during the service period in Nairobi, Kenya.
- Any modification, amendment, or cancellation of this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding scope changes to the Dietitian's services shall not be binding.
- The Dietitian shall provide a minimum of fourteen (14) days' written notice before any absence or delegation of duties. In the event of absence, a substitute Dietitian of equivalent qualification and KDA registration must be approved in writing by the Purchaser.
- This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.
- The Dietitian shall comply with all applicable Kenyan health and safety regulations, including those enforced by the Public Health Department of the Nairobi City County Government, when conducting on-site services in Kenya Nairobi.
- This Purchase Order is valid for the service period stated herein and shall automatically terminate on 31 December 2025 unless renewed in writing by both parties no later than 30 November 2025.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Dietitian in Kenya Nairobi.
