- Scope of Engagement: This Purchase Order authorizes the engagement of the named Dietitian, Lic. María Fernanda Gutiérrez López, to provide comprehensive clinical nutrition and dietary services to NutriSalud Corporate Wellness Group employees at the designated facility located in Mexico, Mexico City. All services shall be rendered in accordance with the professional standards established by the Mexican Association of Nutritionists (AMN) and applicable federal health regulations.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice (factura) issued in compliance with Mexican SAT (Servicio de Administración Tributaria) electronic invoicing requirements (CFDI 4.0). Payment shall be processed via bank transfer to the account specified by the Dietitian on the invoice. Late payments shall accrue interest at the rate established by the Mexican Central Bank (Banco de México).
- Service Location: All on-site services under this Purchase Order shall be performed at the NutriSalud Corporate Campus, Av. Paseo de la Reforma 250, Piso 14, Col. Cuauhtémoc, Mexico, Mexico City, unless otherwise agreed in writing by both parties. The Dietitian shall comply with all site safety protocols and corporate access policies in effect at the Mexico, Mexico City location.
- Professional Compliance: The Dietitian warrants that she holds a valid professional license (Cédula Profesional) issued by the relevant authority in Mexico and maintains current registration with the Mexican health regulatory body. She shall carry professional liability insurance with a minimum coverage of MXN $2,000,000 for the duration of this Purchase Order.
- Confidentiality: The Dietitian shall maintain strict confidentiality regarding all employee health information, dietary records, and medical data accessed during the performance of services under this Purchase Order, in full compliance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and applicable data protection regulations in Mexico, Mexico City.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Dietitian shall be compensated for all services rendered up to the effective date of termination, and the Purchaser shall not be liable for future scheduled sessions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with jurisdiction vested in the courts of Mexico, Mexico City. Any disputes arising from this Purchase Order shall be subject to mediation before the relevant commercial arbitration center in Mexico City prior to litigation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Mexico, Mexico City metropolitan area.
- Amendments: Any modifications to this Purchase Order, including changes to service scope, pricing, or delivery schedule, must be documented in a written addendum signed by authorized representatives of both parties.
