5.1 This Purchase Order is governed by the laws of the Kingdom of Morocco, specifically the Code de Commerce and applicable health-sector regulations. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Morocco Casablanca.
5.2 The Dietitian shall maintain full professional liability insurance and shall comply with all data protection requirements under Moroccan law (Law 09-08) when handling patient nutritional records and personal health information collected in Morocco Casablanca.
5.3 Payment shall be made via bank transfer to the Dietitian's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur a penalty of 1.5% per month as stipulated by Moroccan commercial law.
5.4 The Dietitian reserves the right to refer patients to other medical specialists in Morocco Casablanca when clinical conditions exceed the scope of nutritional practice. Such referrals shall be communicated to the Buyer in writing within 48 hours.
5.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for all services rendered up to the termination date, and the Dietitian shall refund any pre-paid amounts for unrendered services.
5.6 All meal plans, nutritional assessments, and educational materials produced by the Dietitian under this Purchase Order shall remain the intellectual property of the Buyer for internal corporate wellness use within Morocco Casablanca.
5.7 The Dietitian shall provide a minimum of 48 hours' written notice for any scheduled absence or unavailability. In such cases, a qualified substitute Dietitian registered in Morocco Casablanca shall be arranged at no additional cost to the Buyer.
6. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge that this Purchase Order for Dietitian services in Morocco Casablanca has been reviewed, understood, and accepted in its entirety. This document, together with any attached annexes, forms the complete agreement between the parties regarding the scope, pricing, and delivery of the specified nutritional services.
