- This Purchase Order is issued by Lagos Wellness & Nutrition Centre Ltd., a duly registered company in Nigeria, and constitutes a binding procurement agreement for the engagement of a qualified Dietitian and the supply of associated nutritional materials within the Lagos metropolitan area.
- The Dietitian, Dr. Adaeze Okafor, shall maintain valid professional registration with the Nigerian Society of Nutrition and Dietetics and the National Pharmaceutical Council of Nigeria throughout the duration of this Purchase Order. Any lapse in professional credentials shall constitute grounds for immediate termination.
- All Dietitian services shall be rendered at the designated facilities within Lagos, Nigeria, as specified in the line items above. The Dietitian is responsible for all travel and transportation costs within Lagos Local Government Areas including Lekki, Victoria Island, Ikeja, Yaba, and Surulere.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Dietitian. Payment shall be processed via bank transfer to the account specified in the supplier details section of this Purchase Order. Late payments shall attract a penalty of 2% per month as stipulated under Nigerian commercial law.
- The Dietitian shall submit monthly progress reports detailing patient consultations conducted, dietary plans issued, workshop attendance figures, and any adverse dietary reactions observed. Reports shall be submitted to the Procurement Department at Lagos Wellness & Nutrition Centre, Lekki, Lagos, no later than the 5th business day of the following month.
- All nutritional supplements and therapeutic food items supplied under this Purchase Order must comply with the standards set by the National Agency for Food and Drug Administration and Control (NAFDAC), Nigeria. The Dietitian shall provide NAFDAC registration certificates for all products before delivery to any Lagos facility.
- The Dietitian shall adhere to the Code of Professional Conduct for Dietitians in Nigeria, maintaining strict patient confidentiality in accordance with the Nigeria Data Protection Act 2023. All patient dietary records and health information shall be stored securely and shall not be disclosed to third parties without written consent.
- This Purchase Order may be amended by mutual written agreement of both parties. Any change in scope, quantity, or service location within Lagos must be documented in a formal Purchase Order amendment signed by both parties before implementation.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). If mediation fails, the matter shall be referred to the Federal High Court, Lagos Division.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria. All references to "Lagos" in this document refer to Lagos State, Nigeria, and its constituent Local Government Areas.
