Terms and Conditions1. Scope of Engagement: This Purchase Order authorizes the engagement of a licensed Dietitian to deliver the professional nutritional services as itemized above. All services shall be rendered in compliance with the standards set by the Philippine Dietetic Association and the Professional Regulation Commission (PRC) of the Philippines Manila region.
2. Payment Terms: Payment shall be made within thirty (30) days from the date of receipt of a valid Official Receipt. A 50% advance payment is required upon acceptance of this Purchase Order. The remaining balance shall be settled in two equal installments upon completion of the first and second phases of the Dietitian service delivery.
3. Service Delivery Location: All on-site consultations, workshops, and cafeteria reviews shall take place at the HealthBridge Wellness Corporation headquarters located in the Philippines Manila metropolitan area, specifically at The Enterprise Center, Ayala Avenue, Makati City. The Dietitian shall bear all travel and transportation costs within the Philippines Manila city limits.
4. Professional Qualifications: The Dietitian must hold a valid PRC license, a minimum of five (5) years of post-licensure experience in clinical and community nutrition, and demonstrated expertise in corporate wellness programs. Proof of licensure and credentials shall be submitted prior to the commencement of services.
5. Confidentiality: The Dietitian shall maintain strict confidentiality regarding all employee health information, dietary records, and nutritional data collected during the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Cancellation and Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) days. In the event of cancellation by the buyer, the Dietitian shall be compensated for all services rendered up to the date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this agreement shall be resolved through the courts of the Philippines Manila jurisdiction.
8. Acceptance: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this document null and void.
