This Purchase Order is issued by Northwestern Health & Wellness Group LLC to procure the professional services of a certified Dietitian for the period of twelve (12) months, commencing 1 July 2025 and concluding 30 June 2026. - Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be issued in Russian Rubles (RUB) and submitted to the buyer's finance department at the Russia Saint Petersburg office. - Service Delivery: The Dietitian shall report to the buyer's premises at 191025, Russia Saint Petersburg, Nevsky Prospekt 88, no fewer than two (2) full working days per month. All on-site sessions shall be conducted between 09:00 and 18:00 Moscow Time (MSK).
- Professional Qualifications: The Dietitian engaged under this Purchase Order must maintain a valid professional registration with the Russian Medical Chamber and hold a current certificate of continuing professional development in clinical dietetics. Failure to maintain these credentials shall constitute grounds for immediate termination of this Purchase Order.
- Confidentiality: All patient and employee health data collected by the Dietitian during the course of services in Russia Saint Petersburg shall be treated as strictly confidential in accordance with Federal Law No. 152-FZ "On Personal Data." The Dietitian shall sign a separate Non-Disclosure Agreement (NDA) prior to commencing any service.
- Regulatory Compliance: All dietary recommendations, meal plans, and nutritional interventions provided by the Dietitian shall comply with the current sanitary-epidemiological rules and norms established by Rospotrebnadzor for the city of Russia Saint Petersburg. The Dietitian shall ensure that all food product recommendations are available and legally sold within the Russian Federation.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the aggrieved party may terminate with fourteen (14) days' notice. Upon termination, the buyer shall pay for all services rendered up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Arbitration Court of the City of Saint Petersburg, Russia, in accordance with the applicable procedural rules.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under the Civil Code of the Russian Federation, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Russia Saint Petersburg.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. All references to "Russia Saint Petersburg" in this document denote the city of Saint Petersburg, a federal city of the Russian Federation, and its administrative jurisdiction.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Dietitian services in Russia Saint Petersburg. The undersigned represent that they have the full legal authority to execute this document on behalf of their respective organizations.
