4.1 Scope of Engagement: The Dietitian and supporting staff engaged under this Purchase Order shall operate exclusively within the geographic boundaries of Saudi Arabia Jeddah. All in-person consultations, workshops, and assessments must be conducted at the Buyer's designated premises in Jeddah or at the Supplier's registered office in Al Shati, Jeddah, unless otherwise agreed in writing.
4.2 Professional Qualifications: The lead Dietitian must hold a valid license issued by the Saudi Commission for Health Specialties (SCFHS) and a degree in Clinical Nutrition or Dietetics from an accredited institution. All supporting staff must possess relevant certifications recognized within Saudi Arabia.
4.3 Service Delivery Schedule: Services shall commence on 1 July 2025 and conclude on 30 September 2025. The Dietitian shall submit a detailed service delivery calendar within five (5) business days of this Purchase Order being accepted.
4.4 Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice. Payment shall be processed via bank transfer to the Supplier's designated account in Saudi Arabia. All amounts are denominated in Saudi Riyal (SAR) and are inclusive of applicable 15% Value Added Tax (VAT) as per Saudi Arabian tax regulations.
4.5 Confidentiality and Data Protection: The Dietitian and all associated personnel shall comply with the Saudi Data and AI Authority (SDAIA) regulations regarding personal health data. All client nutritional records, assessment results, and dietary plans shall be stored securely and shall not be disclosed to any third party without written consent from the Buyer and the individual client.
4.6 Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Buyer shall be liable for services already rendered up to the termination date. The Dietitian shall provide a transition plan to ensure continuity of care for all active clients in Jeddah.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this engagement shall be resolved through the competent courts in Jeddah, Saudi Arabia.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies affecting the Jeddah region.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of Dietitian services in Saudi Arabia Jeddah. This document constitutes a binding agreement upon execution by both authorized representatives.
