This Purchase Order is issued by Seoul Wellness & Corporate Health Solutions Co., Ltd. to Seoul Nutrition & Lifestyle Consulting Group for the provision of professional Dietitian services to be delivered within the metropolitan area of South Korea Seoul. All services under this Purchase Order shall be performed within the city of South Korea Seoul. The initial nutritional assessments (Item 001) shall commence no later than July 1, 2025, and be completed by August 15, 2025. Personalized dietary plans (Item 002) must be delivered within 10 business days following each employee's initial assessment. Monthly follow-up consultations (Item 003) shall be scheduled at the Purchasing Party's discretion, with a minimum of 48-hour advance notice. Corporate workshops (Item 004) shall be conducted at the Purchasing Party's Gangnam-gu headquarters in South Korea Seoul. The digital nutrition portal (Item 005) must be fully operational and accessible to all employees by July 15, 2025. Quarterly reports (Item 006) are due on the last business day of March, June, September, and December 2025.
6.1 This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board.
6.2 The Dietitian providing services under this Purchase Order shall maintain full professional liability insurance with a minimum coverage of KRW 500,000,000 and shall provide proof of such insurance prior to commencing any services.
6.3 All personal health data collected during the nutritional assessments and dietary consultations shall be handled in strict compliance with the Personal Information Protection Act (PIPA) of South Korea. The Dietitian and the Supplier shall not disclose, transfer, or use any employee health information for purposes other than those specified in this Purchase Order without explicit written consent from the data subject.
6.4 The Supplier warrants that the Dietitian engaged under this Purchase Order is duly licensed, in good standing with the Korean Dietitians Association, and possesses a minimum of five (5) years of post-licensure clinical experience in corporate nutrition and lifestyle medicine.
6.5 Payment shall be made via bank transfer to the Supplier's designated account in Korean Won (KRW) within thirty (30) calendar days of receipt of a valid tax invoice (seisan) issued in accordance with South Korean tax regulations. Late payments shall accrue interest at a rate of 1.5% per month.
6.6 The Purchasing Party reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Dietitian fails to meet the performance standards outlined herein, or if the Supplier breaches any confidentiality or data protection obligation.
6.7 All deliverables, including dietary plans, workshop materials, and progress reports, shall be prepared in both Korean and English to accommodate the bilingual workforce of the Purchasing Party in South Korea Seoul.
6.8 This Purchase Order constitutes the entire agreement between the parties with respect to the services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Dietitian services to be rendered in South Korea Seoul.
