The Dietitian shall provide all services in accordance with the professional standards established by the Generalitat de Catalunya and the Spanish Ministry of Health. All services shall be delivered at the purchaser's premises in Barcelona, Spain, or at the agreed-upon clinical facility in the Barcelona metropolitan area.

- Scope of Services: The Dietitian shall perform all duties in strict compliance with the professional code of ethics of the Col·legi Oficial de Dietistes i Nutricionistes de Catalunya and all applicable legislation of Spain, including the Ley 44/2003 de Ordenación de las Profesiones Sanitarias and the Generalitat de Catalunya health regulations.
- Service Location: All in-person services shall be rendered at the purchaser's facility located in Barcelona, Spain, or at such other location within the Barcelona metropolitan area as mutually agreed in writing. The Dietitian is responsible for travel within the city of Barcelona.
- Payment Schedule: Payment shall be made in four equal instalments of €8,349.00 (including VAT), due at the commencement of the contract, at the end of month 3, month 6, and month 9. Payment shall be made via bank transfer to the IBAN specified in Section 2 within 30 days of receipt of a valid invoice issued in accordance with Spanish tax law (Ley 58/2003 General Tributaria).
- Confidentiality and Data Protection: The Dietitian shall handle all employee health data in full compliance with the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD). No personal health information shall be disclosed to third parties without explicit written consent from the affected employee.
- Professional Liability Insurance: The Dietitian shall maintain a minimum professional liability insurance policy of €600,000, valid throughout the duration of this Purchase Order, with the insurer registered in Spain. A certificate of insurance shall be provided prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the purchaser shall pay for all services rendered up to the date of termination, plus any non-recoverable costs incurred by the Dietitian.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of Spain. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, unless otherwise mandated by applicable consumer or employment legislation.
- Language of Services: The Dietitian shall be proficient in both Spanish and Catalan and shall deliver all services, reports, and communications in either or both languages as required by the employee or the purchaser.
- Warranty: The Dietitian warrants that all nutritional advice, meal plans, and dietary recommendations provided under this Purchase Order shall be evidence-based, current with the latest scientific literature, and appropriate for the population served in the Barcelona, Spain region.
