- This Purchase Order is issued in accordance with the Spanish Civil Code (Código Civil) and the applicable commercial regulations of the Community of Madrid. All services described herein shall be performed within the jurisdiction of Spain Madrid, and any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- The Dietitian, Dra. Lucía Fernández-Morales, warrants that she holds a valid professional licence issued by the Col·legi Oficial de Dietistes-Nutricionistes de Madrid and that all services rendered under this Purchase Order shall comply with the professional code of ethics established by the Spanish Association of Dietitians (Asociación Española de Dietistas-Nutricionistas, AEDN).
- Payment shall be made via direct bank transfer (transferencia bancaria) to the supplier's designated account within thirty (30) calendar days from the date of receipt of a valid invoice (factura) conforming to the requirements of the Spanish Tax Agency (Agencia Tributaria) and the applicable VAT regulations (Ley 37/1992 del IVA).
- The Dietitian shall maintain full professional liability insurance (seguro de responsabilidad profesional) with a minimum coverage of €1,000,000 for the entire duration of the services specified in this Purchase Order. A certificate of insurance shall be provided to the Purchaser prior to the commencement of services.
- All personal data collected during the nutritional assessments and follow-up consultations shall be processed in strict compliance with the General Data Protection Regulation (GDPR – Regulation (EU) 2016/679) and the Spanish Organic Law 3/2018 on Personal Data Protection and Guarantee of Digital Rights (LOPDGDD). The Dietitian shall act as a data processor under the data processing agreement to be executed concurrently with this Purchase Order.
- The service delivery schedule shall be coordinated between the Dietitian and the Purchaser's Human Resources department. All on-site sessions at the Madrid office shall be conducted between 09:00 and 18:00 CET, Monday through Friday, excluding Spanish public holidays (festivos nacionales y autonómicos de la Comunidad de Madrid).
- Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of early termination, the Purchaser shall be liable only for services already rendered and documented by the Dietitian up to the effective date of termination.
- This Purchase Order constitutes the entire agreement between the parties with respect to the Dietitian services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter of this document.
- Any amendments or modifications to this Purchase Order must be made in writing and signed by authorised representatives of both parties. Verbal agreements or informal communications shall not be binding.
