Terms and Conditions of this Purchase Order

1. Scope of Dietitian Services: The supplier shall provide all Dietitian services as itemized above. Each Dietitian assigned to this Purchase Order must hold valid professional registration and a minimum of five (5) years of clinical or community nutrition experience in Sri Lanka Colombo.
2. Delivery Location: All on-site Dietitian consultations, workshops, and cafeteria planning sessions shall take place at the buyer's premises located on Galle Road, Colombo 03, Sri Lanka Colombo, unless otherwise agreed in writing.
3. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice. The total Purchase Order value of LKR 3,920,400.00 shall be disbursed in quarterly installments of LKR 980,100.00, subject to satisfactory completion of the corresponding Dietitian service milestones.
4. Quality Assurance: The supplier shall submit a monthly progress report detailing the Dietitian activities conducted, employee participation rates, and preliminary nutritional outcomes. Failure to meet the agreed service standards for two consecutive months shall entitle the buyer to terminate this Purchase Order with fourteen (14) days' written notice.
5. Confidentiality: All employee health data, dietary records, and personal information accessed by the Dietitian team shall be treated as strictly confidential in accordance with the Personal Data Protection Act of Sri Lanka. No data shall be shared with third parties without explicit written consent.
6. Warranty of Professional Standards: The supplier warrants that all Dietitian recommendations, meal plans, and nutritional interventions shall comply with the Sri Lanka National Dietary Guidelines and the evidence-based protocols endorsed by the Sri Lanka Colombo-based nutrition research institutions.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Sri Lanka Colombo, or public health emergencies.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be resolved through arbitration in Colombo, Sri Lanka Colombo, in accordance with the Arbitration Act No. 11 of 1995.
9. Validity: This Purchase Order is valid for a period of one (1) year from the date of issue. Upon expiry, the parties may negotiate a renewal for continued Dietitian services at mutually agreed rates.
