- Service Period: The Dietitian services procured under this Purchase Order shall commence on 1 July 2025 and conclude on 31 December 2025, covering a six-month engagement period within the Turkey Ankara service area.
- Payment Terms: Payment shall be made in two equal installments of TRY 394,920.00 each. The first installment is due within 30 days of the Purchase Order issue date, and the second installment is due upon completion of the service period. All payments shall be transferred via bank wire to the Dietitian's registered account in Turkey.
- Compliance: The Dietitian shall maintain all necessary professional licenses, certifications, and insurance coverage as mandated by the Republic of Turkey's health regulations. The Dietitian's practice in Ankara, Turkey must comply with the Turkish Code of Ethics for Dietitians and the standards of the Turkish Association of Dietitians.
- Confidentiality: All client nutritional data, health records, and dietary information handled by the Dietitian in Turkey Ankara shall be treated as strictly confidential and shall not be disclosed to any third party without written consent, in accordance with Turkey's Personal Data Protection Law (KVKK - Law No. 6698).
- Performance Standards: The Dietitian shall adhere to the service-level agreements outlined in the attached Schedule A. Failure to meet the agreed-upon session schedules or quality benchmarks for three consecutive weeks shall constitute a material breach of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Dietitian shall be compensated for all services rendered up to the effective date of termination, and the purchasing party shall be refunded for any prepaid services not yet delivered.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order related to Dietitian services in Turkey Ankara shall be subject to the exclusive jurisdiction of the competent courts in Ankara, Turkey.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Ankara, Turkey, or public health emergencies.
