Terms and Conditions of This Purchase Order
- This Purchase Order constitutes a binding agreement between Kampala Corporate Wellness Centre Ltd. (hereinafter "the Buyer") and Dr. Amina Nakato, Registered Dietitian (hereinafter "the Vendor"), for the provision of professional Dietitian services in Uganda Kampala.
- The Dietitian shall commence all services no later than 01 July 2025 and shall complete all deliverables by 31 December 2025, unless otherwise agreed in writing by both parties.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Dietitian. Invoices must reference this Purchase Order number (PO-KCWC-2025-0347) and include the Vendor's Uganda TIN number.
- The Dietitian is responsible for all professional malpractice, errors in dietary recommendations, and failure to maintain confidentiality of employee health data as required under the Uganda Data Protection and Privacy Act, 2019.
- All services shall be delivered at the Buyer's premises located in Kampala, Uganda, unless a different location is mutually agreed upon in writing. Travel and accommodation costs within Kampala city limits are included in the unit prices stated in this Purchase Order.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, unsatisfactory performance, or insolvency of the Dietitian or the Vendor's practice.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Kampala, Uganda, in accordance with the Arbitration Act of Uganda. If mediation fails, the matter shall be referred to the competent courts of Uganda Kampala.
- The Dietitian shall submit monthly progress reports to the Buyer's Procurement Department by the 5th business day of each month, detailing sessions completed, employee feedback, and any deviations from the agreed service schedule.
- This Purchase Order is governed by the laws of the Republic of Uganda. All communications related to this Purchase Order shall be conducted in English, the official language of Uganda.
- Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or epidemics affecting operations in Uganda Kampala.
