The Dietitian appointed under this Purchase Order shall provide all services within the geographical boundaries of Birmingham and the wider West Midlands metropolitan area, United Kingdom. All clinical and dietary advice must comply with the current NICE (National Institute for Health and Care Excellence) guidelines and the Code of Practice of the British Dietetic Association. The Dietitian shall maintain full confidentiality in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All patient records generated during the engagement shall be stored securely at the supplier's Birmingham premises or on approved encrypted cloud infrastructure located within the United Kingdom.
The Dietitian is required to submit a written progress report to the Purchasing Party on the last working day of each calendar month. Any deviation from the agreed service levels, including but not limited to missed appointments, delayed reporting, or failure to meet the dietary plan delivery timelines, shall be subject to the penalty and remediation clauses outlined in Section 7 of this Purchase Order.
All invoices issued by the supplier in connection with this Purchase Order must reference the Purchase Order number PO-BHM-2025-04782 and be submitted electronically to [email protected]. Payment shall be made by BACS transfer to the supplier's designated bank account within thirty (30) calendar days of receipt of a valid and correctly itemised invoice. The supplier shall include their VAT registration number, the date of the invoice, a detailed breakdown of services rendered, and the applicable VAT rate on every invoice. Late payment interest shall accrue in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, applicable throughout the United Kingdom.
- 6.1 This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier upon signature by both authorised representatives. All services shall be performed in Birmingham, United Kingdom, unless otherwise agreed in writing.
- 6.2 The Dietitian engaged under this Purchase Order shall maintain a minimum of £5,000,000 in professional indemnity insurance and shall provide a certificate of insurance to the Purchasing Party prior to the commencement of services.
- 6.3 The Supplier shall not subcontract any portion of the Dietitian services without prior written consent from the Purchasing Party. Any approved subcontractor must meet the same professional registration and insurance requirements as the primary Dietitian.
- 6.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Party shall be liable only for services rendered up to the effective date of termination.
- 6.5 All intellectual property, including dietary templates, patient assessment frameworks, and reporting methodologies developed specifically for this engagement, shall remain the property of the Purchasing Party upon full payment.
- 6.6 This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- 6.7 The Supplier warrants that the Dietitian providing services under this Purchase Order holds a minimum of a Bachelor's degree in Dietetics or Nutrition and is registered with the relevant professional body in the United Kingdom.
Should the Dietitian fail to deliver any scheduled service within five (5) working days of the agreed date without prior written notification and approval from the Purchasing Party, a penalty of 5% of the applicable line-item value shall be deducted from the next invoice. Repeated failures (three or more within a single calendar quarter) shall entitle the Purchasing Party to terminate this Purchase Order immediately without further notice and without liability for remaining contract value.
