This Purchase Order authorizes the engagement of a licensed Dietitian to provide comprehensive nutritional assessment, dietary planning, and metabolic health management services to the employees, clients, and corporate partners of Miami Wellness & Corporate Health Group, LLC. The Dietitian shall operate in full compliance with the Florida Board of Medicine dietary practice regulations and the standards set forth by the Academy of Nutrition and Dietetics. All services rendered under this Purchase Order shall be delivered within the Miami metropolitan area, United States, unless otherwise authorized in writing by the Buyer.

5.1 Professional Standards. The Dietitian engaged under this Purchase Order shall maintain active licensure with the State of Florida and current registration with the Commission on Dietetic Registration (CDR). The Dietitian shall adhere to the Code of Ethics of the Academy of Nutrition and Dietetics throughout the term of this Purchase Order.

5.2 Confidentiality. All patient health information, dietary records, and metabolic data collected by the Dietitian in the course of services under this Purchase Order shall be treated as protected health information (PHI) in strict accordance with the Health Insurance Portability and Accountability Act (HIPAA) and Florida Statute Chapter 395. The Dietitian shall execute a Business Associate Agreement (BAA) prior to the commencement of services.

5.3 Service Delivery. All in-person Dietitian consultations, workshops, and on-site services shall be conducted within the Miami metropolitan area, United States, at the locations specified by the Buyer. The Dietitian shall provide a minimum of forty-eight (48) hours' written notice for any rescheduling of appointments.

5.4 Payment. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Dietitian. Invoices shall be submitted electronically to the accounts payable department of Miami Wellness & Corporate Health Group, LLC. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Florida law.

5.5 Termination. Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all Dietitian services rendered up to the effective date of termination. No penalty shall apply for early termination due to the Dietitian's failure to maintain professional licensure or registration.

5.6 Insurance. The Dietitian shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence and $2,000,000 in the aggregate, naming Miami Wellness & Corporate Health Group, LLC as an additional insured. Certificates of insurance shall be provided upon execution of this Purchase Order.

5.7 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any arbitration or litigation arising from this Purchase Order shall take place in the judicial circuit of Miami-Dade County, Florida.
