The Dietitian shall commence all services no later than 1 July 2025 and shall complete the full program by 30 October 2025. All consultations, assessments, and workshops shall be conducted at the corporate facility located at 42 Amir Temur Avenue, Tashkent, Uzbekistan, unless otherwise agreed in writing. The Dietitian is required to maintain a minimum of 95% attendance rate for all scheduled sessions. Any rescheduling must be communicated to the Purchasing Party no fewer than 48 hours in advance.

• Payment shall be made in Uzbek Som (UZS) via bank transfer to the account designated by the Dietitian.
• An advance payment of 30% (52,110,000 UZS) is due within 5 business days of acceptance of this Purchase Order.
• The remaining 70% shall be paid in two equal installments: 35% upon completion of Month 2 and 35% upon final delivery of the comprehensive dietary report.
• All payments are subject to a 10-day payment window from the date of invoice issuance.
• Late payments shall incur a penalty of 0.5% per calendar day, in accordance with the Civil Code of the Republic of Uzbekistan.

• This Purchase Order constitutes a binding agreement between the Purchasing Party and the Dietitian upon signature by both parties.
• The Dietitian warrants that all services shall be performed in a professional, ethical, and competent manner consistent with the standards of the Dietitians Association of Uzbekistan.
• All dietary recommendations provided by the Dietitian shall be tailored to the cultural and culinary context of Uzbekistan Tashkent, incorporating locally available ingredients such as plov staples, fresh herbs, seasonal fruits, and traditional dairy products.
• The Dietitian shall maintain strict confidentiality regarding all employee health data in compliance with the Law of the Republic of Uzbekistan on Personal Data Protection.
• Either party may terminate this Purchase Order with 30 days written notice. In the event of early termination, the Purchasing Party shall pay for all services rendered up to the termination date.
• Any disputes arising from this Purchase Order shall be resolved through the Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan, located in Tashkent.
• This Purchase Order is governed by the laws of the Republic of Uzbekistan.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Dietitian services in Uzbekistan Tashkent. This document is executed in two (2) original copies, one for each party.
