Terms & Conditions of This Purchase Order
- Scope of Service: All Dietitian services outlined in this Purchase Order shall be performed exclusively within the metropolitan area of Venezuela Caracas, Distrito Capital. The Lead Dietitian and any supporting registered dietitians must hold current professional licenses issued by the Venezuelan Ministry of Health and the Colegio de Nutricionistas de Venezuela.
- Delivery & Performance Schedule: Initial consultations shall commence no later than July 1, 2025. All services must be completed within a twelve (12) month period from the date of this Purchase Order. Group workshops in Venezuela Caracas shall be scheduled in coordination with the buyer's Human Resources department.
- Payment Terms: Net 45 days from invoice date. Payment shall be made in US Dollars (USD) via wire transfer to the vendor's designated account. Invoices must reference this Purchase Order number (PO-VC-2025-04871) and include the vendor's RIF number.
- Quality Assurance: The Dietitian services must adhere to the clinical nutrition standards established by the Venezuelan Ministry of Health and international dietary guidelines. The buyer reserves the right to audit service delivery at any Venezuela Caracas location during the contract period.
- Confidentiality: All patient nutritional data, dietary assessments, and health records generated by the Dietitian in Venezuela Caracas shall be treated as strictly confidential and handled in compliance with Venezuelan data protection regulations (Ley Orgánica de Protección de Datos Personales).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all Dietitian services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes shall be resolved through arbitration in Venezuela Caracas under the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or economic disruptions affecting Venezuela Caracas.
