This Purchase Order is issued by Saigon Wellness & Corporate Health Co., Ltd. to formally request and authorize the procurement of professional Dietitian services to be delivered within Vietnam Ho Chi Minh City. The purpose of this Purchase Order is to engage a qualified, licensed Dietitian to provide comprehensive nutritional assessment, meal planning, and ongoing dietary counseling for a cohort of 120 corporate employees across three office locations in District 1, District 3, and Binh Thanh District of Ho Chi Minh City, Vietnam. The Dietitian services under this Purchase Order shall comply with the standards set forth by the Vietnam Dietetic Association and the Ministry of Health of the Socialist Republic of Vietnam.

Scope of Dietitian Services: The Dietitian engaged under this Purchase Order must hold a valid license issued by the Ministry of Health of Vietnam and a minimum of five (5) years of clinical practice experience in Ho Chi Minh City. All services shall be performed in accordance with the Vietnamese Dietetic Practice Standards (2023 revision).
Delivery Schedule: All Dietitian services shall commence on 01 July 2025 and conclude by 30 September 2025. The initial assessments must be completed within the first two weeks of the contract period. The supplier shall provide a detailed weekly schedule to the Purchaser no later than 20 June 2025.
Payment Terms: Payment shall be made in three (3) equal installments of VND 379,500,000 (inclusive of VAT). The first installment is due upon signing of this Purchase Order. The second installment is due upon completion of the 6-week milestone. The final installment is due within fifteen (15) business days of service completion and acceptance. Payments shall be made via bank transfer to the supplier's account at Vietcombank, Ho Chi Minh City branch.
Quality Assurance: The Dietitian shall submit monthly progress reports to the Purchaser's Human Resources and Wellness Department. A joint review meeting shall be held at the end of each month at the Purchaser's headquarters in District 1, Ho Chi Minh City.
Confidentiality: All employee health data, nutritional profiles, and dietary information collected by the Dietitian shall be treated as strictly confidential in compliance with Vietnam's Personal Data Protection Law (Law No. 13/2023/QH15). No data shall be shared with third parties without written consent.
Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Purchaser shall pay for all Dietitian services rendered up to the date of termination, plus a 5% administrative fee.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Ho Chi Minh City, or public health emergencies as declared by the Vietnamese government.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Dietitian services in Vietnam Ho Chi Minh City. This document constitutes a binding agreement between the Purchaser and the Supplier effective from the date of the last signature.
