All Diplomat products listed in this Purchase Order shall be delivered to the following location in Australia Brisbane:
Delivery Address: Brisbane Corporate Services Pty Ltd, Level 12, 400 George Street, Brisbane, Queensland 4000, Australia.
Delivery Window: Within 15 business days from the date of this Purchase Order acceptance (i.e., no later than 3 July 2025).
Delivery Hours: Monday to Friday, 08:00 to 16:30 AEST. Please coordinate with the site security desk at the George Street building entrance prior to arrival.
Special Instructions: All Diplomat luggage and briefcase items must be delivered in original sealed packaging. The Brisbane receiving team will conduct a visual inspection upon delivery and sign the delivery docket. Any visible damage to Diplomat products must be noted on the docket at the time of receipt.
- Acceptance: This Purchase Order becomes a binding contract upon written or electronic acceptance by the Diplomat Australia Distribution Centre. Acceptance must be communicated within five (5) business days of the issue date.
- Payment Terms: Net 30 days from the date of the supplier's invoice. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by Diplomat Australia Distribution Centre. All amounts are quoted in Australian Dollars (AUD) and are inclusive of applicable Goods and Services Tax (GST) as per Australian tax legislation.
- Warranty: All Diplomat products are covered by the manufacturer's standard warranty. Diplomat luggage items carry a five-year structural warranty; leather goods carry a two-year workmanship warranty. Warranty claims must be lodged with the Diplomat Australia Distribution Centre within the warranty period and are subject to their standard terms.
- Quality Assurance: The supplier warrants that all Diplomat items delivered under this Purchase Order shall conform to the specifications described in Section 2. Any non-conforming goods must be replaced or refunded within fourteen (14) days of written notice from the Buyer.
- Intellectual Property: The Diplomat brand name, logos, and trade marks remain the exclusive property of the Diplomat parent company. The Buyer shall not alter, deface, or remove any Diplomat branding from the purchased goods except as expressly agreed in writing for corporate logo embossing (Item 03).
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia Brisbane jurisdiction. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Brisbane region, port closures, or government-mandated restrictions.
- Confidentiality: Both parties agree to maintain the confidentiality of pricing, quantities, and commercial terms contained in this Purchase Order. This obligation survives for a period of two (2) years following full performance of the order.
