All Diplomat products listed in this Purchase Order shall be delivered to the Buyer's primary distribution warehouse located at Unit 7, 2200 Dandenong Road, Springvale, Melbourne, Victoria 3171, Australia. Delivery must be completed no later than 08 July 2025 between the hours of 08:00 and 16:00 AEST. The supplier, Diplomat International Trading Co., is responsible for all packaging, labelling, and freight costs associated with the Australia Melbourne delivery route. Each shipment must include a detailed packing list, commercial invoice, and certificate of origin. Goods must be stored in climate-controlled conditions during transit to protect the integrity of the leather and polycarbonate Diplomat products.
- This Purchase Order constitutes a binding agreement between Meridian Corporate Solutions Pty Ltd and Diplomat International Trading Co. upon written acceptance by both parties. All terms are governed by the laws of the State of Victoria, Australia.
- Diplomat International Trading Co. warrants that all products supplied under this Purchase Order are new, unused, and conform to the specifications listed in Section 2. Any Diplomat item found to be defective upon receipt must be reported within five (5) business days of delivery to the Melbourne warehouse.
- Payment of the full grand total of AUD $102,968.75 shall be made via electronic funds transfer (EFT) to the supplier's nominated bank account within thirty (30) calendar days of the date of the supplier's tax invoice. Late payments shall attract interest at the rate of 1.5% per month as permitted under the Australian Consumer Law.
- The supplier shall maintain adequate product liability insurance covering all Diplomat goods in transit and in storage within Australia Melbourne and the surrounding metropolitan area for the duration of this Purchase Order.
- Any changes to the quantities, product specifications, or delivery schedule outlined in this Purchase Order must be agreed upon in writing by both parties. Verbal modifications shall not be enforceable.
- Diplomat International Trading Co. shall comply with all applicable Australian Standards (AS/NZS) for luggage, leather goods, and consumer products. All Diplomat products must carry the appropriate Australian compliance labelling prior to delivery.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation in Melbourne, Victoria, before pursuing any formal legal proceedings in the Victorian courts.
- The supplier reserves the right to substitute equivalent Diplomat products of equal or greater value only with prior written consent from the Buyer's Procurement Manager.
