4.1 This Purchase Order constitutes a binding agreement between Brussels Diplomatic Services & Procurement S.A. (hereinafter "the Buyer") and Diplomat International B.V. (hereinafter "the Supplier") for the supply of Diplomat-branded goods as itemised in Section 2.
4.2 All Diplomat products shall be delivered to the Buyer's premises in Brussels, Belgium, no later than the Required Delivery Date stated in Section 1. Delivery shall be made in accordance with Incoterms 2020, DAP Brussels, Belgium. The Supplier bears all risk of loss or damage until the goods are placed at the disposal of the Buyer at the specified Brussels, Belgium location.
4.3 The Supplier warrants that all Diplomat items are free from defects in materials and workmanship for a period of five (5) years from the date of delivery in Belgium Brussels. Any Diplomat product found to be non-conforming shall be repaired or replaced at the Supplier's sole cost within thirty (30) calendar days of written notice by the Buyer.
4.4 Payment shall be made by bank wire transfer within forty-five (45) calendar days of the date of a valid invoice issued by Diplomat International B.V. The invoice shall reference this Purchase Order number (BE-BRU-2025-DIP-04782) and shall include the Belgian VAT identification number of the Supplier.
4.5 The Supplier shall provide full documentation for all Diplomat goods, including certificates of origin, material compliance declarations (REACH, CE marking where applicable), and warranty certificates, to be delivered alongside the goods in Brussels, Belgium.
4.6 In the event of a delay in delivery of any Diplomat item beyond the Required Delivery Date, the Buyer shall be entitled to a penalty of 0.5% of the value of the delayed items per calendar day of delay, up to a maximum of 10% of the total Purchase Order value.
4.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium.
4.8 Neither party may assign its rights or obligations under this Purchase Order without the prior written consent of the other party. This Purchase Order may not be amended except by a written addendum signed by both parties.
This Purchase Order is issued and authorised by the undersigned on behalf of the Buyer. The Supplier's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of receipt. Failure to confirm within this period shall be deemed a rejection of this Purchase Order.
