All Diplomat-branded goods specified in this Purchase Order shall be delivered to the respective addresses within Brasília, Distrito Federal, Brazil, no later than 31 July 2025. The supplier, Diplomat International Trading & Diplomatic Supplies S.A., is responsible for all packaging, crating, and secure transport arrangements. Deliveries to sensitive government locations in Brasília, including Itamaraty Palace and the Palácio do Planalto, require prior coordination with the local security detail and must be scheduled between 08:00 and 16:00 BRT on business days. The supplier must present valid CNPJ documentation and a Diplomat Procurement Authorization Letter at each delivery point. Partial deliveries are permitted provided each shipment is accompanied by a corresponding Delivery Note referencing this Purchase Order number (PO-BR-2025-04471).
Payment shall be made via bank transfer (TED/PIX) to the supplier's registered account in Brazil within 45 (forty-five) calendar days from the date of full and satisfactory receipt of all goods, as confirmed by the Diplomat Procurement Office in Brasília. The total amount due is R$ 1.452.472,00 (one million, four hundred fifty-two thousand, four hundred seventy-two Brazilian Reais). In the event of partial delivery, payment shall be prorated accordingly. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law. The supplier must issue a Nota Fiscal Eletrônica (NF-e) for each delivery, referencing this Purchase Order.
- All Diplomat products must bear the official Diplomat trademark, serial number, and certificate of authenticity. Counterfeit or non-conforming items will be rejected at the point of delivery in Brasília without obligation of payment.
- The supplier warrants that all goods are new, unused, and free from defects in material and workmanship for a period of no less than 24 months from the date of delivery in Brasília.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília, Distrito Federal.
- The supplier shall comply with all applicable Brazilian labor, environmental, and tax regulations, including those specific to the Federal District of Brasília.
- Any modification to the scope, quantity, or delivery schedule of this Purchase Order must be executed through a formal written amendment signed by both parties and registered with the Diplomat Procurement Office in Brasília.
- The supplier assumes full liability for any damage to goods during transit to the delivery locations in Brasília until formal acceptance is signed by the authorized government representative.
