All Diplomat products listed in this Purchase Order shall be delivered to the Montreal, Canada facility at the address specified in the Buyer Information section above. 2. All Diplomat products must conform to the specifications, quality standards, and branding guidelines outlined in the attached Product Specification Sheet (Appendix A). Substitutions of Diplomat items without prior written approval from the Buyer are strictly prohibited.
3. Payment shall be made via electronic funds transfer (EFT) to the Seller's designated Canadian bank account within thirty (30) calendar days of the invoice date, provided all Diplomat goods have been received and accepted in Canada Montreal.
4. The Seller warrants that all Diplomat products are new, unused, and free from defects in materials and workmanship for a period of two (2) years from the date of delivery in Montreal, Canada.
5. Any late delivery beyond the agreed date of July 1, 2025, shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
6. This Purchase Order is governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Montreal. Any disputes arising from this Purchase Order shall be resolved through arbitration in Montreal, Canada, in accordance with the rules of the Quebec Arbitration Association.
7. The Seller shall comply with all applicable Canadian import regulations, customs declarations, and tax obligations (GST/QST) related to the delivery of Diplomat products into the province of Quebec, Canada Montreal.
8. Intellectual property rights associated with the Diplomat brand, trademarks, and product designs remain the exclusive property of Diplomat International Supply Co. The Buyer's use of Diplomat products is limited to internal operational purposes within Canada Montreal.
9. This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party.
10. All communications regarding this Purchase Order, including amendments, change orders, and dispute notices, must be sent in writing to the designated contact persons listed above and are effective upon confirmed receipt.
