- This Purchase Order (PO No. DT-2025-04871) constitutes a binding agreement between Maple Ridge Corporate Group Inc. and Diplomat International Furniture & Interiors Ltd. for the supply, delivery, and installation of all Diplomat-branded items listed above.
- All prices are quoted in Canadian Dollars (CAD) and are inclusive of all applicable federal and provincial taxes as determined by the Canada Revenue Agency (CRA) for the province of Ontario.
- Delivery shall be made to the specified address in Toronto, Ontario, Canada. Diplomat International Furniture & Interiors Ltd. assumes full responsibility for transportation, handling, and risk of loss until goods are delivered and signed for at the Toronto receiving dock.
- Payment shall be remitted within thirty (30) calendar days of the invoice date via electronic funds transfer (EFT) to the bank account designated by Diplomat International Furniture & Interiors Ltd. Late payments shall accrue interest at 1.5% per month in accordance with the Ontario Sale of Goods Act.
- All Diplomat products are covered by the manufacturer's warranty as stated in the item descriptions. Diplomat International Furniture & Interiors Ltd. shall provide a minimum 12-month workmanship warranty on all installation services performed in Toronto, Canada.
- Any changes to this Purchase Order, including modifications to quantities, specifications, or delivery schedules, must be submitted in writing and approved by both parties prior to execution. Verbal modifications are not valid under this agreement.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be referred to mediation under the rules of the Toronto Arbitration and Mediation Services (TAMS) in Toronto, Ontario, Canada.
- This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Toronto, Ontario shall have exclusive jurisdiction over any legal proceedings.
- Diplomat International Furniture & Interiors Ltd. warrants that all goods supplied under this Purchase Order are new, free from defects, and conform to the specifications outlined in the Diplomat product catalog (Edition 2025, Canada Toronto regional edition).
- Both parties acknowledge that this Purchase Order complies with all applicable Canadian import/export regulations, Ontario occupational health and safety standards, and municipal building codes applicable to the City of Toronto.
