All Diplomat goods covered under this Purchase Order shall be delivered to the buyer’s primary receiving facility located at 1280 Granville Street, Loading Dock B, Canada Vancouver, British Columbia V6Z 1E5. The supplier, Diplomat International Manufacturing & Export Co., is responsible for arranging all freight, insurance, and customs clearance (if applicable for inter-provincial transfer) to ensure the Diplomat shipment arrives at the Canada Vancouver site in full and undamaged condition. Delivery is scheduled no later than July 1, 2025, between the hours of 08:00 and 16:00 local time. The supplier must provide a minimum of 72 hours’ written notice prior to the Diplomat delivery to the Canada Vancouver warehouse so that receiving staff can be adequately scheduled.
Payment for this Purchase Order shall be made via electronic funds transfer (EFT) to the supplier’s designated bank account within Net 45 days from the date of confirmed receipt and acceptance of the Diplomat goods at the Canada Vancouver facility. A 1.5% monthly late-payment interest rate shall apply to any outstanding balance beyond the due date. The buyer reserves the right to withhold payment for any Diplomat items that fail to meet the quality specifications or arrive in a damaged or incomplete state. All invoices must reference this Purchase Order number (PO-2025-CV-04872) and the Diplomat product SKUs listed in Section 3.
- This Purchase Order constitutes a binding agreement between Northwest Diplomat Supply & Distribution Ltd. and Diplomat International Manufacturing & Export Co. for the supply of Diplomat-branded products to the Canada Vancouver market.
- All Diplomat items must be new, unused, and in their original manufacturer packaging. Any Diplomat product found to be defective, counterfeit, or non-conforming to the Canada Vancouver regional specifications shall be returned at the supplier’s sole expense within 14 business days of delivery.
- The supplier warrants that all Diplomat goods comply with the Canadian Consumer Packaging and Labelling Act, the British Columbia Product Safety Act, and all applicable municipal regulations within the Canada Vancouver municipality.
- Intellectual property: The Diplomat brand name, logos, and associated trademarks remain the exclusive property of Diplomat International Manufacturing & Export Co. The buyer is granted a limited, non-transferable license to display the Diplomat branding solely for the purpose of retail distribution within Canada Vancouver and the surrounding Lower Mainland region.
- Force Majeure: Neither party shall be liable for delays in the delivery of Diplomat goods to Canada Vancouver caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or transportation infrastructure failures affecting the Canada Vancouver corridor.
- Dispute Resolution: Any disputes arising from this Purchase Order regarding the Diplomat product line or the Canada Vancouver delivery terms shall be resolved through mediation in the City of Vancouver, British Columbia, Canada, in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
- This Purchase Order may not be amended, modified, or supplemented except by a written addendum signed by authorized representatives of both parties. All communications regarding this Diplomat order and the Canada Vancouver delivery schedule must be directed to the contacts listed in Sections 1 and 2.
- The supplier shall maintain adequate product liability insurance covering all Diplomat goods in transit to and stored at the Canada Vancouver facility for the duration of this Purchase Order and for a minimum of 12 months following final delivery.
