The Seller shall ensure that all Diplomat products are packaged in climate-controlled, tamper-evident cartons suitable for international transit. Each Diplomat item must be individually wrapped in acid-free tissue paper and placed in branded Diplomat retail packaging. The estimated delivery window for this Purchase Order is within twenty-five (25) calendar days from the date of confirmed payment, with arrival at the China Shanghai customs port no later than July 8, 2025.

All Diplomat products purchased under this Purchase Order are intended solely for authorized retail, corporate gifting, and diplomatic protocol use. The Buyer shall not alter, rebrand, or modify any Diplomat product without prior written consent from Diplomat International S.p.A.

This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be submitted to arbitration under the rules of the Shanghai International Arbitration Center (SHIAC) in China Shanghai. The arbitral award shall be final and binding upon both parties. The language of arbitration shall be English.

This Purchase Order constitutes the entire agreement between the Buyer and the Seller with respect to the procurement of Diplomat products described herein. No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting the China Shanghai port, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within forty-eight (48) hours of the event's occurrence.

This Purchase Order is valid for acceptance within fourteen (14) days of the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void without further notice.
