- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice issuance. A 2% early-payment discount applies if settlement is completed within fifteen (15) days. All transactions shall be processed in Colombian Pesos (COP) through the buyer's designated bank in Colombia Bogotá, subject to the foreign exchange regulations of the Banco de la República de Colombia.
- Delivery Terms: The supplier shall deliver all Diplomat branded merchandise under Incoterms 2020 — FOB New York. The buyer assumes responsibility for ocean freight, insurance, customs clearance at the Port of Cartagena, and final overland transport to the receiving warehouse located at Calle 93 # 15-42, Chapinero, Colombia Bogotá. The required delivery date for this Purchase Order is July 15, 2025.
- Quality Assurance: All items under the Diplomat product line must conform to the specifications listed in this Purchase Order. The buyer reserves the right to inspect and reject any goods that do not meet the agreed-upon quality standards within ten (10) business days of arrival in Colombia Bogotá. Rejected items must be replaced or refunded at the supplier's sole expense.
- Customs & Compliance: The supplier shall provide all necessary documentation for customs clearance in Colombia, including commercial invoices, packing lists, certificates of origin, and any applicable Diplomat brand licensing documentation. All goods must comply with the regulatory standards set forth by the Instituto Colombiano de Normas Técnicas (ICONTEC) and the Colombian Customs Authority (DIAN).
- Warranty: The Diplomat supplier guarantees a minimum twelve (12) month warranty on all leather goods and hardware components. Any manufacturing defects discovered during the warranty period shall be repaired or replaced without additional charge to the buyer in Colombia Bogotá.
- Intellectual Property: The buyer acknowledges that all Diplomat trademarks, logos, and design elements remain the exclusive property of Diplomat International Trading Co. The buyer shall not alter, reproduce, or sublicense any Diplomat branding without prior written consent.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through arbitration in Colombia Bogotá in accordance with the rules of the Cámara de Comercio de Bogotá.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures affecting the route to Colombia Bogotá, or international trade embargoes.
