Important Note: All Diplomat products included in this Purchase Order must comply with Colombian consumer protection regulations (Ley 1480 de 2011) and carry the mandatory INVIMA registration where applicable. The supplier, Diplomat International Distribution, guarantees that all items are authentic Diplomat brand products manufactured under the Diplomat quality assurance program. Any counterfeit or non-conforming Diplomat merchandise will result in immediate rejection and full refund.

Terms and Conditions of this Purchase Order

This Purchase Order (PO No. COL-MDE-2025-04871) constitutes a binding agreement between Corporación Andina de Suministros, S.A.S. (hereinafter "Buyer") and Diplomat International Distribution — Latin America Division (hereinafter "Seller") for the procurement and delivery of Diplomat brand products within the Colombia Medellín metropolitan area.
The Seller shall deliver all Diplomat items listed in this Purchase Order to the designated warehouse in Medellín, Colombia, no later than July 10, 2025. Delivery shall be made in accordance with DDP Incoterms 2020, with all customs duties, taxes, and transportation costs borne by the Seller up to the point of delivery in Medellín.
Payment shall be made within thirty (30) calendar days from the date of the commercial invoice issued by Diplomat International Distribution. Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia for the applicable period.
All Diplomat products are subject to a minimum twelve (12) month manufacturer warranty from the date of delivery in Medellín. The Seller shall replace any defective Diplomat item within fifteen (15) business days of written notice from the Buyer.
The Buyer reserves the right to inspect all Diplomat merchandise upon arrival at the Medellín warehouse. Any discrepancies in quantity, model, or condition must be reported within five (5) business days of delivery. Failure to report within this window shall constitute acceptance of the Diplomat shipment.
This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Medellín, Antioquia, Colombia, or through arbitration at the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín, at the election of the Buyer.
The Seller warrants that all Diplomat products are free from intellectual property claims and are authorized for sale and distribution within the territory of Colombia. The Seller shall indemnify the Buyer against any third-party claims related to the Diplomat brand or products supplied under this Purchase Order.
Neither party may assign this Purchase Order without the prior written consent of the other party. This Purchase Order may be amended only by a written addendum signed by both parties.
All communications regarding this Purchase Order shall be directed to the contacts listed above. Electronic communications (email) shall be deemed valid for all non-contractual notices, including delivery scheduling and quality reports for Diplomat products.
