1. This Purchase Order constitutes a binding agreement between the Buyer and Diplomat International Trading Co. Ltd. upon signature by both authorized representatives.
2. All Diplomat products supplied under this Purchase Order must conform to the specifications listed in Section 3 and must carry a minimum two-year manufacturer's warranty valid in Egypt Alexandria and all governorates of Egypt.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice and confirmed delivery at the Egypt Alexandria warehouse. Payment shall be processed via bank transfer to the supplier's designated account.
4. The Buyer reserves the right to inspect all Diplomat goods upon arrival at Egypt Alexandria. Any items found to be defective, damaged in transit, or non-conforming to the Purchase Order specifications shall be rejected and replaced at the supplier's sole expense within fourteen (14) business days.
5. All Diplomat products must comply with Egyptian customs regulations, import standards, and labeling requirements. The supplier shall ensure that all packaging bears appropriate Arabic and English labeling as mandated by Egyptian trade law.
6. This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Alexandria in accordance with the rules of the Egyptian Arbitration Center.
7. The supplier warrants that all Diplomat goods are free from intellectual property claims and are sourced from authorized Diplomat manufacturing facilities.
8. Neither party may assign this Purchase Order without the prior written consent of the other party.
9. This Purchase Order may be amended only by a written addendum signed by both parties. Verbal modifications are null and void.
