All Diplomat-branded goods specified in this Purchase Order shall be shipped from the Seller's facility in Dubai, United Arab Emirates, and delivered to the Diplomat Regional Headquarters located in Ethiopia Addis Ababa, CMC Area, Bole Sub-City. The Seller shall arrange all international freight via sea shipping through the Port of Djibouti, followed by overland transport to the final delivery address in Ethiopia Addis Ababa. The estimated delivery window is 45 to 60 calendar days from the date of Purchase Order confirmation. The Seller is responsible for all packaging, crating, and labeling in accordance with Ethiopian import regulations and the requirements of the Ethiopian Customs Commission. All Diplomat products must be accompanied by certificates of origin, commercial invoices, packing lists, and any additional documentation required for clearance at the Ethiopia Addis Ababa port of entry.
- Payment Method: Irrevocable Letter of Credit (LC) issued by a commercial bank in Ethiopia Addis Ababa, payable at sight.
- Advance Payment: 30% of the total Purchase Order value (USD 79,570.20) shall be remitted within 10 business days of Purchase Order acceptance to initiate manufacturing and allocation of Diplomat inventory.
- Balance Payment: The remaining 70% (USD 185,663.80) shall be settled upon presentation of the Bill of Lading, Certificate of Origin, and a signed Delivery Note confirming arrival at the Ethiopia Addis Ababa warehouse.
- Currency: All payments shall be made in United States Dollars (USD) via wire transfer to the Seller's designated bank account.
- Penalty for Late Payment: A penalty of 1.5% per month shall apply to any overdue balance, calculated from the due date specified in this Purchase Order.
All Diplomat products delivered under this Purchase Order must conform to the quality specifications and manufacturing standards established by Diplomat Global Manufacturing Co., Ltd. Each item shall carry a minimum five-year manufacturer's warranty covering structural integrity, mechanical components, and finish quality. The warranty service for the Ethiopia Addis Ababa region shall be coordinated through the Diplomat Office Solutions International after-sales team based in Ethiopia Addis Ababa. Any items found to be defective, damaged in transit, or non-conforming to the specifications listed in this Purchase Order must be reported within 14 days of delivery. The Seller shall replace or repair defective Diplomat products at no additional cost to the Buyer within 30 days of the defect report.
- This Purchase Order is governed by the laws of the Federal Democratic Republic of Ethiopia and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Ethiopia Addis Ababa in accordance with the rules of the Ethiopian Arbitration and Conciliation Commission.
- The Seller warrants that all Diplomat goods are free from liens, encumbrances, and third-party claims, and that the transfer of ownership shall be clear and unencumbered upon full payment.
- Force majeure events, including but not limited to natural disasters, government sanctions, or port closures affecting the Ethiopia Addis Ababa logistics corridor, shall extend the delivery timeline by a period equivalent to the duration of the event.
- This Purchase Order may not be amended, modified, or supplemented except in writing, signed and dated by authorized representatives of both parties.
- The Buyer reserves the right to inspect all Diplomat goods upon arrival in Ethiopia Addis Ababa prior to final acceptance and payment of the balance.
