This Purchase Order is issued by the Lyon Diplomatic Services Consortium to procure the full suite of Diplomat professional communication and protocol management systems for deployment across all operational facilities located in France Lyon. The Diplomat platform, recognized as the industry-standard solution for diplomatic correspondence, protocol scheduling, and multilingual document management, shall be installed, configured, and maintained in accordance with the specifications outlined in this Purchase Order. All deliverables under this Purchase Order are intended exclusively for use within the administrative and operational boundaries of France Lyon, and the Diplomat software licenses are geographically restricted to this region.

All Diplomat hardware components shall be delivered to the Buyer's primary facility at 12 Quai de Serbie, 69009 France Lyon, no later than 1 August 2025. Software licenses for the Diplomat platform shall be activated electronically within five (5) business days of the Purchase Order acceptance. Installation and configuration of the Diplomat system across all three France Lyon sites shall be completed by 15 August 2025. The Seller, Diplomat International Solutions S.A., shall bear all costs associated with transportation, insurance, and handling of Diplomat hardware within the France Lyon metropolitan area. Any delays in delivery attributable to the Seller shall result in a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 30% advance payment (EUR 54,190.80) due within ten (10) business days of Purchase Order acceptance, payable via bank transfer to Diplomat International Solutions S.A., IBAN: FR76 3000 4000 0312 0001 2345 678, BIC: BNPAFRPPXXX.
• 50% milestone payment (EUR 90,318.00) due upon successful completion of Diplomat system installation and configuration at all France Lyon sites, confirmed by written acceptance from the Buyer.
• 20% final payment (EUR 36,127.20) due within thirty (30) days following the completion of the Diplomat training program and the commencement of the annual maintenance period.

All payments are subject to the terms and conditions of this Purchase Order and applicable French commercial law. Late payments shall incur interest at the rate of 1.5% per month, in accordance with French regulatory provisions.

The Seller warrants that all Diplomat products and services delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of final acceptance. The Diplomat software shall comply with all applicable French data protection regulations, including the General Data Protection Regulation (GDPR) as implemented in France, and shall meet the security standards required for diplomatic communications within France Lyon. The Seller further warrants that the Diplomat platform shall operate in full compliance with the French Electronic and Digital Code (Code de l'informatique, de la liberté et des démocraties numériques).

This Purchase Order is governed by the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Lyon, France. Neither party may assign its rights or obligations under this Purchase Order without the prior written consent of the other party. This Purchase Order, together with any attached specifications and the Seller's standard terms of sale (to the extent not overridden herein), constitutes the entire agreement between the parties with respect to the subject matter hereof. Amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
