- Product Authenticity: All items listed in this Purchase Order must be genuine Diplomat brand products manufactured by Diplomat S.p.A. or its authorized production facilities. Each item must bear the official Diplomat serial number and authenticity certificate. Counterfeit or unauthorized reproductions will result in immediate rejection of the entire shipment.
- Quality Standards: All Diplomat products delivered under this Purchase Order must conform to the quality specifications outlined in the Diplomat European Product Catalogue, Edition 2025. Any item exhibiting manufacturing defects, material inconsistencies, or branding irregularities shall be subject to replacement at the supplier's expense within fourteen (14) calendar days of written notice.
- Delivery to Munich, Germany: The supplier shall arrange and bear all costs associated with the delivery of the ordered Diplomat products to the designated warehouse address in Munich, Germany, as specified in the delivery address field above. Delivery must be completed no later than 08 July 2025. The shipment must comply with all applicable German customs regulations, EU import requirements, and Bavarian state logistics protocols. All Diplomat products must be properly packaged, labeled, and protected against transit damage in accordance with German packaging standards (DIN EN 13935).
- Inspection and Acceptance: Upon arrival at the Munich delivery address, the Bavarian Diplomatic Services Procurement Office shall conduct a full inspection of all Diplomat items within five (5) business days. Acceptance of this Purchase Order's delivery is contingent upon satisfactory inspection. Any discrepancies in quantity, condition, or product specification must be reported in writing to the supplier within the inspection window.
- Payment: Payment of the full grand total of €355,845.00 shall be made via SEPA bank transfer within thirty (30) calendar days of the date of the supplier's invoice, provided that all Diplomat products have been accepted in accordance with Clause 4. Late payments shall incur interest at the rate of 8% per annum above the European Central Bank reference rate, in compliance with German commercial law (HGB §288).
- Warranty: The supplier warrants that all Diplomat products covered by this Purchase Order carry the standard Diplomat manufacturer's warranty of five (5) years against defects in materials and workmanship. Warranty claims for items delivered to Munich, Germany shall be processed through the Diplomat European Service Center in Milan, with the supplier coordinating all logistics and repair costs.
- Compliance with German and EU Regulations: The supplier confirms that all Diplomat products ordered under this Purchase Order comply with applicable European Union regulations, including but not limited to REACH chemical safety regulations, the EU General Product Safety Directive (2001/95/EC), and German consumer protection laws. All leather goods must carry the appropriate EU conformity markings and material declarations.
- Confidentiality: The terms, quantities, and pricing contained in this Purchase Order are confidential and intended solely for the use of the Bavarian Diplomatic Services Procurement Office in Munich, Germany. Neither party shall disclose the contents of this document to third parties without prior written consent.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Bavaria, Germany.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, war, government sanctions, or supply chain disruptions affecting the Diplomat manufacturing facilities.
