1. Acceptance of Purchase Order: By signing this document, Diplomat International Trading Ltd. acknowledges and accepts all terms, specifications, quantities, and pricing set forth in this Purchase Order. No modification to this Purchase Order shall be valid unless executed in writing by both parties.
2. Quality Assurance: Every item supplied under this Purchase Order must conform to the published Diplomat quality standards and carry a minimum two-year manufacturer warranty. The Buyer reserves the right to reject any Diplomat product that fails to meet the agreed specifications upon inspection at the Ghana Accra receiving facility.
3. Payment Schedule: Payment of the full grand total of GHS 3,430,500.00 shall be remitted via bank transfer to the Diplomat account within forty-five (45) calendar days of the Buyer's written acceptance of delivery. A 5% retention shall be withheld until the completion of a 90-day post-delivery performance review of all Diplomat goods.
4. Warranty & After-Sales Support: Diplomat shall maintain a dedicated after-sales service desk in Ghana Accra for the duration of the warranty period. All warranty claims on Diplomat products shall be resolved within fifteen (15) business days of the claim being lodged.
5. Compliance with Ghanaian Law: This Purchase Order is governed by the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 2005 (Act 698).
6. Intellectual Property: All trademarks, trade names, and product designs associated with the Diplomat brand remain the exclusive property of Diplomat International Trading Ltd. The Buyer shall not reproduce, rebrand, or alter any Diplomat product markings without prior written consent.
7. Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Ghana Accra harbour.
