Upon arrival at the Iraq Baghdad receiving facility, a joint inspection team comprising two (2) representatives from the Diplomatic Procurement Office and one (1) representative from Diplomat International Trading Co. shall conduct a full quality inspection of all Diplomat-branded items. Any product found to be defective, damaged in transit, or non-conforming to the specifications in this Purchase Order shall be documented in a written discrepancy report within forty-eight (48) hours. Late payments shall accrue interest at a rate of 1.5% per month. 1. This Purchase Order is governed by the terms of the Diplomat Supply Contract No. DSC-2025-114 and applicable international trade regulations. In the event of a conflict, the terms of the Diplomat Supply Contract shall prevail.
2. All Diplomat products delivered to Iraq Baghdad are intended for official diplomatic use only. The supplier acknowledges that these items may be subject to diplomatic immunity provisions under the Vienna Convention on Diplomatic Relations (1961) and the Vienna Convention on Consular Relations (1963).
3. The supplier warrants that all Diplomat-branded goods are genuine, free from liens or encumbrances, and manufactured in compliance with applicable international quality standards (ISO 9001:2015).
4. Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to political instability, security incidents, or government-imposed restrictions within Iraq Baghdad or the supplier's country of origin.
5. All communications regarding this Purchase Order shall be conducted in English and directed to the designated contact persons listed in Section 1. Verbal agreements do not constitute amendments to this Purchase Order.
6. The supplier shall maintain full insurance coverage for all Diplomat goods in transit to Iraq Baghdad, including cargo insurance, war-risk insurance, and political risk insurance, for the full value of this Purchase Order.
7. Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland.
