Payment Terms: Net 45 days from the date of invoice receipt. Payment shall be made via SEPA bank transfer to the supplier's designated account in Italy. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law (Codice Civile, Art. 1284).
Acceptance of Goods: The buyer shall inspect all Diplomat products upon delivery at the Naples receiving facility. Any discrepancies in quantity, condition, or specification must be reported in writing within five (5) business days of delivery. Failure to report within this window constitutes acceptance of the goods as conforming to this Purchase Order.
Warranty: All Diplomat branded items carry a minimum two-year manufacturer's warranty against defects in materials and workmanship. The supplier shall replace or repair any defective Diplomat product at no additional cost to the buyer within the warranty period.
Intellectual Property & Branding: The Diplomat brand name, logos, and associated trademarks remain the exclusive property of Diplomat Office & Diplomatic Supplies International S.p.A. The buyer is granted a non-exclusive, non-transferable license to display the Diplomat branding on the supplied items solely for internal institutional use within the Naples consulate premises.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or transport disruptions affecting the Naples port or regional logistics corridors.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Naples (Napoli), Italy.
Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and specifications contained within this Purchase Order. No portion of this document shall be disclosed to third parties without prior written consent.
Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute a valid amendment.

NOTE: This Purchase Order is issued in support of the annual Diplomat supply procurement cycle for the Naples (Napoli) consular office. All items bearing the Diplomat brand must meet the quality standards outlined in Annex A of the supplier's master service agreement. The Naples receiving team will coordinate with the supplier's logistics partner to schedule the delivery window.
