- Delivery Location: All goods under this Purchase Order shall be delivered CIF (Cost, Insurance, and Freight) to the Port of Abidjan, Ivory Coast. The buyer's designated receiving warehouse is located at Zone 4, Boulevard de Vridi, Cocody, Abidjan. The seller shall coordinate with the buyer's local logistics agent in Abidjan for final inland transport from the port to the warehouse.
- Payment: Payment shall be made in West African CFA Francs (XOF) via wire transfer to the seller's designated bank account within forty-five (45) calendar days from the date of confirmed receipt and inspection of all Diplomat goods at the Abidjan warehouse. A 10% advance payment is due upon execution of this Purchase Order.
- Quality Assurance: All Diplomat products must conform to the specifications listed in the item table above. The buyer reserves the right to inspect and reject any Diplomat items that do not meet the agreed quality standards within fourteen (14) days of delivery in Abidjan. Rejected items shall be replaced at the seller's expense within thirty (30) days.
- Customs and Import Compliance (Ivory Coast): The seller shall provide all documentation necessary for the clearance of Diplomat goods through the customs authority in Abidjan, Ivory Coast. This includes but is not limited to: a certified commercial invoice, a detailed packing list, a certificate of origin, a bill of lading, and a Diplomat brand authenticity certificate. The buyer shall be responsible for payment of all import duties, the 18% Value Added Tax (VAT) applicable in Ivory Coast, and any UEMOA community levies assessed by the Douane de Côte d'Ivoire.
- Branding and Engraving: Items 02 and 03 include custom engraving and embroidery as specified. The seller shall provide digital proofs of the Abidjan office branding to the buyer for approval no later than ten (10) business days prior to the scheduled shipment date. No production shall commence without written approval from the buyer's Abidjan management team.
- Warranty: All Diplomat products carry a minimum two-year manufacturer's warranty from the date of delivery in Abidjan. Warranty claims shall be processed through the buyer's local representative in Ivory Coast, and the seller shall provide replacement parts or full product replacement within thirty (30) days of a validated claim.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to port strikes at Abidjan, government sanctions affecting trade with Ivory Coast, natural disasters, or pandemics. Affected parties must notify the other in writing within five (5) business days of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire (Ivory Coast) and the Uniform Act on Commercial Law (OHADA). Any disputes arising from this Purchase Order shall be resolved through arbitration in Abidjan, Ivory Coast, in accordance with the OHADA arbitration rules.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and product specifications contained in this Purchase Order. The Diplomat brand materials and any custom Abidjan-specific designs shall not be disclosed to third parties without mutual written consent.
- Amendments: Any modifications to this Purchase Order, including changes to Diplomat product specifications, quantities, delivery schedules, or pricing, must be made in writing and signed by authorized representatives of both the buyer in Abidjan and the seller.
