1. This Purchase Order is issued by Diplomat International Trading Co., Ltd. for the procurement of Diplomat branded stationery and office products exclusively for use within the Japan Tokyo operational footprint. 2. Delivery shall be made to the Diplomat Japan Tokyo Headquarters address specified above. The invoice must reference this Purchase Order number (DIP-JP-TKY-2025-04872) for processing.
5. This Purchase Order is governed by the laws of Japan, with exclusive jurisdiction vested in the Tokyo District Court. Any disputes arising from this Purchase Order shall be resolved through mediation in Tokyo, Japan, before proceeding to litigation.
6. The supplier warrants that all Diplomat branded goods supplied under this Purchase Order are free from intellectual property encumbrances and comply with all applicable Japanese regulations, including the Consumer Product Safety Act and the Act on the Proper Labeling of Consumer Products.
7. This Purchase Order constitutes the entire agreement between Diplomat International Trading Co., Ltd. and the supplier regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the Japan Tokyo procurement of Diplomat products.
8. Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both Diplomat and the supplier.
