The supplier, Diplomat Global Supply Chain LLC, is responsible for all logistics, customs clearance (if applicable), and last-mile delivery within Kuwait, Kuwait City. Delivery of all physical Diplomat items must be completed no later than 30 July 2025. Installation and commissioning services, as specified under Item No. 05, must be fully executed and signed off by the Diplomat project manager within 45 days of the delivery date. The supplier shall coordinate all delivery schedules with the Diplomat receiving department in Kuwait, Kuwait City, and provide a minimum of 72 hours' written notice prior to any delivery event.

• Payment shall be made in Kuwaiti Dinars (KWD) via bank transfer to the Diplomat Global Supply Chain LLC account held with a licensed financial institution in Kuwait, Kuwait City.
• 30% advance payment (KWD 101,988.15) is due upon acceptance and countersignature of this Purchase Order by both Diplomat parties.
• 50% interim payment (KWD 169,980.25) is due upon confirmed delivery of all Diplomat goods to the Kuwait, Kuwait City premises and successful inspection.
• 20% final payment (KWD 67,992.10) is due upon completion of all installation, calibration, and commissioning services and issuance of the Diplomat Certificate of Completion.
• All payments are subject to the terms and conditions of the Diplomat Master Supply Agreement dated 01 January 2025, registered with the Kuwait Ministry of Commerce and Industry.

• This Purchase Order is governed by the laws of the State of Kuwait and shall be interpreted in accordance with Kuwaiti commercial law. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kuwait, Kuwait City, in accordance with the Kuwait Arbitration Law.
• All Diplomat products supplied under this Purchase Order must carry the official Diplomat quality certification mark and comply with Kuwait Standards and Metrology Organization (KSMA) regulations.
• The supplier warrants that all Diplomat goods are new, unused, free from defects, and conform to the Diplomat product specifications as documented in the Diplomat Technical Standards Manual.
• Any delay in delivery beyond the stipulated dates shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total Purchase Order value.
• The supplier shall maintain full insurance coverage for all Diplomat goods in transit to Kuwait, Kuwait City, and during the installation period.
• This Purchase Order may not be assigned or subcontracted without the prior written consent of Diplomat Kuwait Operations Ltd.
• All intellectual property rights associated with the Diplomat brand, trademarks, and proprietary technologies remain the exclusive property of Diplomat Global Supply Chain LLC and its parent entities.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Diplomat goods and services in Kuwait, Kuwait City. This document constitutes a binding agreement between Diplomat Kuwait Operations Ltd. and Diplomat Global Supply Chain LLC effective from the date of the last signature.
