All Diplomat products listed in this Purchase Order shall be delivered to the designated receiving facility in Mexico, Mexico City no later than August 1, 2025. The supplier, Diplomat International Trading Co., Ltd., is responsible for all packaging, crating, and international shipping arrangements in accordance with DDP (Delivered Duty Paid) terms as specified by Incoterms 2020. The final delivery point is the Diplomat Distribution Hub located in the Lomas Altas district of Mexico City, Mexico. All goods must be accompanied by proper customs documentation, commercial invoices, certificates of origin, and Diplomat product compliance certificates required by the Mexican Federal Commission for the Protection against Sanitary Risk (COFEPRIS) and the Mexican Customs Service (SAT).
Note: The Diplomat Secure Document Management Software (Item #3) shall be delivered via encrypted digital transfer to the Mexico City data center facility. Physical media (hard drives) containing the Diplomat software installation packages must be shipped separately under diplomatic courier service to ensure compliance with Mexican data sovereignty regulations.- Acceptance: This Purchase Order constitutes a binding agreement between the Buyer and Diplomat International Trading Co., Ltd. upon signature by both parties. The Diplomat product specifications as outlined in the attached technical annexes are incorporated herein by reference.
- Payment: Payment shall be made in US Dollars (USD) via wire transfer to the supplier's designated account within forty-five (45) calendar days of the date of the final invoice issued upon successful delivery and acceptance of all Diplomat goods in Mexico City, Mexico.
- Quality Assurance: All Diplomat products must conform to the specifications detailed in the Diplomat International Quality Standard (DIQS-2025). The Buyer reserves the right to inspect and test all items upon arrival at the Mexico City receiving facility. Any Diplomat product found defective or non-conforming shall be replaced at the supplier's sole expense within thirty (30) days.
- Warranty: Diplomat International Trading Co., Ltd. provides a standard two-year warranty on all physical Diplomat products. The Diplomat software license includes one year of priority technical support and all security patches for the duration of the license term.
- Intellectual Property: All Diplomat brand names, trademarks, and proprietary technologies remain the exclusive property of Diplomat International Trading Co., Ltd. The Buyer is granted a non-transferable license to use the Diplomat brand in connection with the purchased products only.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States, with specific reference to commercial regulations applicable in Mexico City, Mexico. Any disputes shall be resolved through arbitration in Mexico City under the rules of the Mexican Arbitration Center (CAM).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or diplomatic emergencies affecting the Mexico, Mexico City region.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the Diplomat product specifications, and all commercial information exchanged in connection with this transaction.
By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the acquisition of Diplomat products and services for use in Mexico, Mexico City.
