TERMS AND CONDITIONS OF THIS PURCHASE ORDER

Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, specifically the Moroccan Commercial Code and applicable procurement regulations for public entities operating in Casablanca.
Delivery: All Diplomat-branded items listed herein shall be delivered to the Buyer's designated warehouse at 12, Boulevard Mohammed V, Casablanca 20000, Morocco, no later than the delivery deadline stated above. Late delivery beyond five (5) business days shall incur a penalty of 0.5% of the affected line total per day.
Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice (facture) and a signed delivery note (bon de livraison) confirming that all Diplomat products have been inspected and accepted. Payment shall be processed via bank transfer to the supplier's account registered with the Bank Al-Maghrib in Casablanca.
Quality Assurance: The Supplier warrants that all Diplomat products conform to the specifications outlined in this Purchase Order and to the quality standards established by the Diplomat International brand. A 12-month warranty applies to all items. Any defective goods must be reported within fifteen (15) days of delivery, and the Supplier shall replace or repair them at no additional cost.
Customs & Import Duties: As this Purchase Order is fulfilled domestically within Morocco Casablanca, no customs clearance is required. However, the Supplier shall provide all necessary conformity certificates (CE, CNDI) for the encrypted communication cases and security products.
Intellectual Property: The Diplomat brand name, logos, and product designs remain the exclusive property of Diplomat International Supplies S.A. The Buyer shall not reproduce, modify, or rebrand any Diplomat product without written authorization.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Casablanca metropolitan area.
Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial court of Casablanca, Morocco.
Validity: This Purchase Order is valid for a period of sixty (60) days from the date of issue. If not acknowledged and accepted by the Supplier within this period, it shall lapse automatically.
