- This Purchase Order is issued by the Diplomat International Procurement Office for the exclusive supply and delivery of Diplomat-branded furniture, lighting, and security systems to the Diplomatic Quarter in Nepal Kathmandu. All items must conform to the Diplomat Global Supply Co. quality specifications and international safety standards (ISO 9001, ISO 14001).
- Delivery shall be made to the designated receiving warehouse at the Diplomatic Quarter, New Road, Kathmandu 44600, Nepal. The seller is responsible for all logistics, including air or sea freight to Tribhuvan International Airport (KTM) or the Port of Colombo with onward overland transport to Kathmandu, Nepal.
- All Diplomat products must be new, unused, and in original factory packaging. Each item must bear the Diplomat brand certification label and a unique serial number for traceability within the Nepal Kathmandu installation project.
- Payment shall be made via irrevocable letter of credit through a recognized bank in Kathmandu, Nepal, within forty-five (45) calendar days of the buyer's written acceptance of delivery and completion of installation inspection.
- The seller warrants that all Diplomat products supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of five (5) years from the date of installation in Nepal Kathmandu. Any defective items shall be replaced at the seller's sole expense within thirty (30) days of written notice.
- Customs clearance in Nepal shall be the responsibility of the seller, with all applicable duties, taxes, and import permits for Diplomat-branded goods to be pre-paid and documented prior to arrival in Kathmandu. The seller must provide all necessary commercial invoices, packing lists, certificates of origin, and Diplomat product compliance certificates.
- Installation and commissioning of all Diplomat products in the Nepal Kathmandu facility shall be supervised by certified Diplomat technical representatives. The seller shall provide a minimum of ten (10) days of on-site technical support in Kathmandu following delivery.
- Any deviation from the specifications listed in this Purchase Order must be approved in writing by the Procurement Director, Diplomat International Procurement Office, Kathmandu, Nepal, prior to shipment. Unauthorized substitutions of Diplomat products will result in immediate rejection of the affected shipment.
- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved by arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
- This document constitutes the entire agreement between the parties regarding the supply of Diplomat products for the Nepal Kathmandu project and supersedes all prior negotiations, representations, or agreements, whether written or oral.
