All goods and services under this Purchase Order shall be delivered to the Diplomat headquarters premises at 15, Diplomat Avenue, Maitama District, Abuja, Federal Capital Territory, Nigeria. The supplier shall bear all transportation, insurance, and customs clearance costs up to the point of delivery in Abuja. Delivery shall be completed no later than 45 calendar days from the date of this Purchase Order. Partial deliveries are not permitted unless expressly approved in writing by the Buyer. The supplier must coordinate with the Diplomat facilities management team in Abuja at least five (5) business days prior to the scheduled delivery date to arrange access, loading, and installation logistics. All packaging must be removed and disposed of in an environmentally responsible manner in accordance with the waste management regulations of the Federal Capital Territory, Abuja.
5. PAYMENT TERMSPayment for this Purchase Order shall be made in Nigerian Naira (NGN) via bank transfer to the supplier's designated account. The payment schedule is as follows: (a) Thirty percent (30%) advance payment upon execution of this Purchase Order; (b) Fifty percent (50%) upon successful delivery and inspection of all goods at the Abuja premises; (c) Twenty percent (20%) upon completion of installation, commissioning, and training services, and issuance of a final acceptance certificate by the Diplomat procurement team. Payment shall be processed within fourteen (14) business days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as stipulated under Nigerian commercial law.
6. TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the Federal Republic of Nigeria, and any disputes arising herefrom shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004.
- All Diplomat-branded products delivered under this Purchase Order must carry a minimum two-year manufacturer's warranty. Any defects discovered within the warranty period shall be repaired or replaced at no additional cost to the Buyer.
- The supplier warrants that all goods are new, unused, and free from any encumbrance, lien, or third-party claim. The supplier shall indemnify the Buyer against any intellectual property infringement claims related to the Diplomat products supplied.
- The Buyer reserves the right to inspect all goods upon delivery at the Abuja premises. Any items found to be damaged, defective, or non-conforming to the Diplomat specifications shall be rejected and replaced within ten (10) business days at the supplier's sole expense.
- The supplier shall comply with all applicable Nigerian federal and state regulations, including but not limited to the Standards Organisation of Nigeria (SON) requirements, the Federal Competition and Consumer Protection Act, and all environmental and occupational health and safety standards applicable in Abuja, FCT.
- Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by force majeure events, including but not limited to natural disasters, government actions, civil unrest, or pandemics, provided that the affected party notifies the other within 48 hours of the occurrence.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party. Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both Diplomat Nigeria Limited and the supplier.
- The supplier shall maintain full insurance coverage for all goods in transit to Abuja, Nigeria, and shall provide certificates of insurance upon request.
- All confidential information exchanged in connection with this Purchase Order shall be treated as proprietary to the disclosing party and shall not be disclosed to any third party without prior written authorization.
