TERMS AND CONDITIONS

Delivery Location: All Diplomat products listed in this Purchase Order shall be delivered, installed, and commissioned at the designated facilities in Peru Lima, specifically at the addresses provided by the Buyer's logistics office in San Isidro, Lima. The supplier Diplomat Office Solutions S.A.C. is responsible for all transportation within the Lima metropolitan area.
Delivery Schedule: The complete shipment of all Diplomat items must arrive at the Peru Lima delivery site no later than July 15, 2025. Partial deliveries are not permitted unless expressly authorized in writing by the Buyer.
Quality Assurance: All Diplomat products must conform to the specifications outlined in the attached technical annex. The Buyer reserves the right to inspect and reject any item that does not meet the Diplomat brand quality standards or the contractual requirements of this Purchase Order.
Warranty: Diplomat Office Solutions S.A.C. guarantees a minimum of five (5) years of comprehensive warranty on all Diplomat furniture and equipment items, and two (2) years on electronic and lighting components, commencing from the date of final installation in Peru Lima.
Payment: Payment of the total amount of S/ 554,946.00 (Quinientos cincuenta y cuatro mil novecientos cuarenta y seis y 00/100 Soles) shall be made within thirty (30) calendar days from the date of receipt of the valid Factura Electrónica (Electronic Invoice) issued by the supplier, in accordance with the regulations of the Superintendencia Nacional de Aduanas y de Administración Tributaria (SUNAT) of Peru.
Tax Compliance: The supplier shall issue all documentation in compliance with Peruvian tax law. The IGV of 18% is included in the total. The supplier must provide a valid RUC registration and all required SUNAT documentation for this Purchase Order transaction in Peru Lima.
Intellectual Property: The Diplomat brand name, trademarks, and product designs remain the exclusive property of the manufacturer. This Purchase Order grants the Buyer the right to use the Diplomat products for official diplomatic and governmental purposes within the Republic of Peru.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Lima, Peru. Both parties agree to attempt mediation before initiating any legal proceedings.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or transport disruptions affecting the Peru Lima region.
