Terms and Conditions of this Purchase Order

1. This Purchase Order is issued by Manila Diplomat Trading Corporation for the procurement of Diplomat-branded products to be delivered within the Philippines Manila metropolitan area. All items listed above must conform to the Diplomat International quality standards and specifications as documented in the attached product catalog.
2. The seller, Diplomat International Supply Co., Ltd., shall ensure that all Diplomat products are new, unused, and free from defects at the time of delivery to the designated Philippines Manila warehouse. Any items found to be damaged or non-conforming upon inspection shall be replaced at no additional cost to the buyer within five (5) business days.
3. Delivery of all Diplomat goods shall be made to the Philippines Manila address specified above no later than June 28, 2025. Late delivery beyond this date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 5%.
4. Payment for this Purchase Order shall be processed via bank transfer to the account specified above within thirty (30) calendar days from the date of receipt of the official tax invoice from Diplomat International Supply Co., Ltd. The invoice must reference this Purchase Order number (PH-MNL-DIP-2025-00472) for proper reconciliation.
5. All Diplomat products shipped under this Purchase Order are subject to inspection upon arrival at the Philippines Manila receiving facility. The buyer reserves the right to reject any shipment that does not match the quantities, specifications, or Diplomat brand standards outlined in this document.
6. This Purchase Order is governed by the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order shall be resolved through arbitration in the Philippines Manila jurisdiction in accordance with the rules of the Philippine Arbitration Commission.
7. The seller warrants that all Diplomat items are free from any intellectual property claims and that the Diplomat brand marks used on the products are duly licensed for distribution within the Philippines Manila market.
8. Force majeure events, including but not limited to natural disasters affecting the Philippines Manila region, shall excuse either party from performance obligations for the duration of such event, provided written notice is given within 48 hours of the event occurring.
9. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Diplomat products for this transaction and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
