Upon arrival at the Spain Barcelona receiving facility, all Diplomat products listed in this Purchase Order shall be subject to a 100% visual inspection and a 15% random functional test (ink flow, nib alignment, clasp operation, stitching integrity). Any items found to be defective, damaged in transit, or not conforming to the Diplomat quality specifications documented in the supplier’s technical data sheets must be reported in writing within five (5) business days of delivery. The supplier, Diplomat Pen Company, S.A., shall replace or credit non-conforming units at no additional cost to the buyer within fourteen (14) calendar days of the defect notification.
Note: This Purchase Order is issued under the commercial regulations of the Kingdom of Spain and is governed by the Spanish Civil Code and the applicable provisions of the Ley de Comercio Interior. All disputes arising from this Purchase Order related to Diplomat products delivered in Spain Barcelona shall be resolved by the competent courts of Barcelona, Spain, unless otherwise agreed in writing by both parties. 6. Special Conditions & Remarks- All Diplomat branded items must bear the current year’s authenticity hologram and the “Made in Spain — Barcelona” origin marking on the product and outer packaging.
- The supplier warrants that all Diplomat writing instruments in this Purchase Order carry a minimum two-year manufacturer’s warranty against defects in materials and workmanship, valid throughout Spain and the European Economic Area.
- Barcelona Diplomatic Supply Co., S.L. reserves the right to adjust quantities by up to 10% (plus or minus) without reissuing this Purchase Order, provided the adjustment is communicated in writing at least ten (10) business days prior to the required delivery date.
- Intellectual property: All Diplomat trademarks, trade names, and design patents referenced in this Purchase Order remain the exclusive property of Diplomat Pen Company, S.A. The buyer shall not alter, rebrand, or remove any Diplomat markings from the products.
- This Purchase Order becomes binding upon written or electronic (PDF) signature by both parties. Verbal agreements do not constitute a modification of this document.
